Welcome to UrTeam! These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and Irbis Tech s.r.o., a company incorporated under the laws of the Czech Republic, with its registered office in Prague (“UrTeam”, “we”, “us”, or “our”), governing your access to and use of the UrTeam mobile and web applications, websites, services, and related software (collectively, the “Service”). UrTeam provides a digital platform that enables users to create and join teams, organize and participate in events, and communicate with others through messaging and shared content. We may update, improve, or change the Service from time to time without prior notice. By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not access or use the Service. These Terms incorporate by reference and work together with the following additional policies, which form part of your agreement with us: Privacy Policy – explains how we collect, use, and protect your personal data. Community Guidelines – set out the rules of conduct for all UrTeam users. We may update these Terms from time to time, as described in the section titled “Changes to the Service and to These Terms”. Continued use of the Service after changes are effective constitutes your acceptance of the revised Terms.
You must be at least sixteen (16) years old to use the Service. By registering for an account, you represent and warrant that you are at least sixteen years of age and have the legal capacity to enter into a binding agreement with us. If you are under the age of majority in your jurisdiction, you may only use the Service with the consent of your parent or legal guardian, and such parent or guardian agrees to be bound by these Terms on your behalf. In order to access certain features of the Service, you are required to register for an account, either directly through UrTeam or by using a third-party login provider such as Apple, Google, or Facebook. You agree to provide accurate, current, and complete information during registration and to keep your account information updated at all times. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. UrTeam is not liable for any loss or damage arising from your failure to safeguard your account or password. You own, or otherwise must have the rights necessary to grant the rights and licenses set forth in these Terms, any information, data, text, images, graphics, photographs, messages, posts, or other materials that you create, upload, share, or otherwise make available in connection with the Service (“Content”), whether publicly posted or privately transmitted. Team names, event descriptions, messages, avatars, and other materials that you submit through UrTeam constitute Content for purposes of these Terms. By making Content available through the Service, you grant UrTeam a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and display such Content, and any name, username, or likeness provided in connection with such Content, in all media formats and channels now known or later developed, without compensation to you. This license is limited to the purposes of operating, improving, and promoting the Service, and it ends when you delete your Content or your account, except to the extent that your Content has already been shared with others and they have not deleted it. You agree that UrTeam is not responsible for, and does not endorse, any Content posted on or transmitted through the Service. If your Content violates these Terms or applicable law, you may bear legal responsibility for that Content. As between you and UrTeam, any Content you make available will be considered non-confidential and non-proprietary, and we will not be liable for any use or disclosure of such Content, except as provided in our Privacy Policy. You acknowledge and agree that your relationship with UrTeam is not a confidential, fiduciary, or other special relationship, and that your decision to submit Content does not place UrTeam in a position that is any different from the position of any other member of the public with regard to your Content. The Service is provided for your personal and non-commercial use. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any portion of the Service, any use of the Service, or access to Content for commercial purposes without our prior written consent. You represent and warrant that: (i) you have the rights to submit the Content you make available on or through the Service; (ii) the posting and use of your Content on or through the Service does not and will not violate, misappropriate, or infringe on the rights of any third party, including, without limitation, privacy rights, publicity rights, copyrights, trademarks, or other intellectual property rights; and (iii) you agree to pay all royalties, fees, and any other monies owed as a result of Content you post on or through the Service. You must not upload or use any logos, trademarks, or other protected materials of third parties (such as brands, clubs, or sponsors) unless you have obtained all necessary permissions from the rights holder.
Account Registration and Security To access and use certain features of the Service, you must create an account. By registering, you represent and warrant that you are not a person barred from receiving services under the laws of the Czech Republic, the European Union, or any other applicable jurisdiction. If you are under the age of majority in your jurisdiction, your parent or legal guardian must review and agree to these Terms on your behalf. If you are a parent or legal guardian of a User who is under the age of majority, you agree to be fully responsible for the User’s actions, omissions, and compliance with these Terms. When creating or updating your account, you agree to: (a) provide true, accurate, current, and complete information (“Account Information”); and (b) maintain and promptly update such information as necessary. You acknowledge that we may use your Account Information for the purpose of providing and improving the Service and as otherwise permitted under these Terms. You agree to create and maintain only one personal account, to use the Service solely for your own activities, and to ensure that any activities performed through your account reflect actions genuinely undertaken by you. You may not share, sell, transfer, or otherwise permit any third party to use your account. If we have reason to believe that any Account Information you provide is inaccurate, misleading, incomplete, or not current, or that you have created multiple accounts or otherwise misused the Service, we may suspend or terminate your account and refuse future access to the Service. You are solely responsible for safeguarding your account credentials, including your password and any third-party login methods (such as Apple, Google, or Facebook). You accept full responsibility for all activities that occur under your account and your devices. You must notify us immediately at [email protected] of any unauthorized use of your account or any other breach of security. You acknowledge that you understand the risks of failing to maintain the confidentiality of your credentials and that the use of strong, unique passwords is recommended. You may choose to register for or log in to your account via a third-party authentication provider. If you do so, you authorize us to collect and use information provided by that provider to create or maintain your account in accordance with their applicable terms and policies. If you connect your account to any third-party service, you agree to comply with its terms, and you acknowledge that certain features of the Service may rely on third-party APIs, which may require you to accept additional terms of service.
All rights, title, and interest in and to the Service—including all software, code, interfaces, graphics, design elements, trademarks, logos, and other materials provided by UrTeam—are owned by or licensed to Irbis Tech s.r.o. and are protected by applicable intellectual property laws. Except for the limited rights expressly granted to you under these Terms, no rights or licenses are granted to you, whether by implication or otherwise. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Service for your personal, non-commercial use. You may not copy, modify, distribute, publicly display, create derivative works from, reverse engineer, decompile, or attempt to extract the source code of the Service or any part thereof, nor may you use the Service to develop or operate a competing product or service. You retain ownership of any Content you submit, as described in the section titled “User content and conduct”, and you grant UrTeam the rights necessary to operate and improve the Service.You also give UrTeam permission to use your profile name, username, avatar, and publicly visible actions within the Service (such as joining teams or participating in events) to operate and promote the Service, including in informational displays shown to other users. We will not use your name or likeness in paid advertisements without your consent unless otherwise permitted by law. You may create a text hyperlink to publicly accessible pages of the Service for non-commercial purposes, provided the link does not portray UrTeam in a false, misleading, or harmful manner. We may revoke this permission at any time. Your use of the Service may require a compatible device, data plan, and internet connection, and you are solely responsible for any related fees and costs. UrTeam does not guarantee compatibility with any specific device, operating system version, or third-party service. By using the Service, you represent and warrant that you have the legal authority to create your account, that you own or have the necessary rights to submit any Content you provide, that your Content does not infringe the rights of any third party, and that you will pay all royalties or fees owed to third parties as a result of such Content.
You must comply with these Terms and with our Community Guidelines, which describe types of content and conduct that are not allowed on the Service. You are solely responsible for all Content you submit, post, send, or otherwise make available through the Service. UrTeam does not guarantee the accuracy, integrity, or quality of any Content and may, in accordance with applicable law, monitor, review, hide, restrict, or remove Content that violates these Terms, is illegal, or is otherwise objectionable. However, we are not obligated to do so, and you acknowledge that you may encounter Content that is offensive, inappropriate, or unlawful. You agree that you use the Service at your own risk. We may suspend or terminate access to Content or accounts when necessary to comply with law, enforce these Terms, protect other users, or maintain the integrity and security of the Service. If you believe that Content violates these Terms or applicable law, you may report it to us through the in-app reporting tools or by contacting us at [email protected] . We will handle such reports in accordance with applicable legislation, including the EU Digital Services Act.
The Service enables users to communicate, form teams, organize events, and interact both online and, in some cases, in real-world settings. UrTeam does not control and is not responsible for the behavior, statements, actions, or omissions of any user, whether online or offline. We do not verify the identity, background, qualifications, or intentions of users, and we make no guarantees regarding the accuracy or reliability of user profiles, team information, or event details. You are solely responsible for your interactions with other users. UrTeam does not conduct background checks and has no obligation to do so. You agree to exercise common sense and good judgment when interacting with others and when choosing to attend real-world meetups or events organized through the Service. If you choose to invite contacts to join the Service or participate in an event, you represent that you have the authority to provide any contact information you submit and that UrTeam may use that information to send the relevant invitations or notifications in accordance with our Privacy Policy. UrTeam is not responsible for any disputes, injuries, losses, or damages that arise from interactions between users, participation in events, or reliance on information provided by others through the Service. Real-world activities and events involve inherent risks, including the risk of injury, property damage, or other harm. You understand and agree that you participate in any event or physical activity arranged through the Service at your own risk. UrTeam does not host, supervise, inspect, or control any real-world activities or locations, and we make no guarantees regarding their safety, suitability, or compliance with applicable laws.
The Service may include integrations with third-party products, services, or platforms, such as authentication providers, mapping services, cloud hosting services, analytics tools, or messaging systems. You acknowledge that any use of third-party services is governed solely by the terms and conditions and privacy policies of those third parties. UrTeam does not control, endorse, or assume responsibility for any third-party content, services, or websites, whether accessed through the Service or linked by users. Any interactions, transactions, or communications you engage in with third parties are solely between you and the applicable third party. UrTeam is not responsible for the availability, quality, accuracy, legality, or safety of any third-party services or content, nor for any loss or damage arising from your dealings or interactions with third parties. The Service may contain links to external websites or resources. UrTeam does not endorse and is not responsible for the content, products, services, or information made available on or through such external sites or resources. You access such sites at your own risk.
The Service may allow you to send messages, post content, communicate with other users, receive notifications, or contact UrTeam. Any communications you send or receive through the Service are considered “Content” under these Terms and must comply with applicable laws and these Terms of Service. You understand that certain communication features, such as team chats or event discussions, may be visible to other users participating in the same team or event. You are solely responsible for the content of your communications and for ensuring that you have the rights and permissions necessary to send or share any information through the Service. UrTeam may, to the extent permitted by law, review, monitor, store, or remove communications transmitted through the Service when necessary to enforce these Terms, comply with legal obligations, protect users, or maintain the integrity and security of the Service. By using the Service, you agree that UrTeam may provide notices, disclosures, updates, and other communications to you electronically, including through in-app notifications, email, or other digital means. You agree that all electronic communications from UrTeam satisfy any legal requirement that such communications be in writing.
If you believe that Content available through the Service infringes your copyright, trademark, or other intellectual property rights, you may submit a notice to UrTeam requesting its removal or restriction. Your notice must include sufficient information to allow us to identify both the rights you claim to be infringed and the specific Content at issue, including: your full name and contact information; identification of the intellectual property right you believe has been infringed; a description or link to the specific Content you believe is infringing; a statement that you have a good-faith belief that the use of the material is not authorized by the rights holder, its agent, or applicable law; and a statement that the information you provide is accurate to the best of your knowledge. You may send notices to: [email protected] Upon receiving a valid notice, UrTeam will review the reported material and take appropriate action in accordance with applicable EU and Czech law, including the Digital Services Act. UrTeam may forward your notice—including your contact information—to the user who posted the Content. Knowingly submitting false or misleading infringement notices may result in legal consequences under applicable law.
If you choose to submit ideas, suggestions, comments, or other feedback regarding the Service (“Feedback”), you acknowledge and agree that UrTeam may use such Feedback for any purpose without compensation to you. You grant UrTeam a perpetual, irrevocable, worldwide, non-exclusive, royalty-free license to use, modify, reproduce, and incorporate the Feedback into the Service or other products or services, without any obligation to you. Please do not submit Feedback that you expect to be treated as confidential or that you do not wish to license to us as described above.
The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, UrTeam makes no representations or warranties of any kind, whether express or implied, regarding the operation, availability, accuracy, reliability, or security of the Service. We do not guarantee that the Service will be uninterrupted, error-free, free of harmful components, or that any Content will be available or preserved. You acknowledge that UrTeam does not control and is not responsible for user-generated Content or for interactions between users, including communications, team activities, or participation in real-world events organized through the Service. You use the Service and participate in any events at your own discretion and risk. To the maximum extent permitted by law, UrTeam and its directors, employees, and affiliates shall not be liable for: (a) any indirect, incidental, special, consequential, or punitive damages; (b) loss of data, loss of profits, loss of opportunities, or business interruption; or (c) damages arising from user Content, user interactions, or third-party services. Where permitted by law, UrTeam’s total aggregate liability for any claim arising out of or relating to the Service or these Terms shall not exceed the amount you have paid to us, if any, in the twelve (12) months preceding the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by our negligence, fraud, or any statutory consumer rights applicable to users in the European Union.
You agree to indemnify and hold harmless Irbis Tech s.r.o., its directors, employees, and affiliates from any claims, damages, liabilities, losses, costs, or expenses arising out of or related to:
Deleting teams, events, messages, or your account may permanently remove associated data and such data may not be recoverable. Content shared with other users may remain visible to them even after deletion. UrTeam does not guarantee the continued availability of any Content or data stored in the Service and is not responsible for loss, deletion, or corruption of data except where required by law. If a personal data breach occurs, UrTeam will comply with its obligations under the EU General Data Protection Regulation (GDPR) and other applicable EU and Czech laws.
These Terms and your use of the Service are governed by the laws of the Czech Republic, without regard to conflict-of-law principles. If you are a consumer residing in the European Union, you may bring legal proceedings relating to these Terms in the courts of your country of residence, as required by applicable EU consumer-protection laws. Otherwise, any disputes shall be brought before the competent courts of the Czech Republic. Before initiating formal legal proceedings, you agree to attempt to resolve any dispute with UrTeam in good faith by contacting us at [email protected] . Consumers in the European Union may also use the EU Online Dispute Resolution platform, available at: https://ec.europa.eu/consumers/odr/ Nothing in these Terms limits any statutory rights you may have under applicable law.
The Service is operated by Irbis Tech s.r.o., a company established in the Czech Republic. We do not guarantee that the Service or any Content will be available or suitable for use in all locations. You are responsible for complying with all applicable laws when accessing or using the Service, and you do so at your own initiative.
We may suspend or terminate your access to the Service, or remove or restrict access to specific Content or features, if we reasonably believe that:
These Terms constitute the entire agreement between you and Irbis Tech s.r.o. regarding your use of the Service. Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and UrTeam. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect and will be interpreted to best reflect the parties’ intentions. A failure by UrTeam to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights or obligations, in whole or in part, in connection with a merger, acquisition, restructuring, or transfer of assets, or to a successor entity. Section titles and headings in these Terms are for convenience only and have no legal effect. Any rights not expressly granted to you are reserved.
We may update or modify the Service from time to time, including by adding, removing, or changing features. We may also update these Terms to reflect changes in the Service, legal requirements, or operational needs. When we make material changes to the Terms, we will provide you with reasonable prior notice, unless immediate changes are required by law or to address security or safety issues. Continued use of the Service after the updated Terms take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and may delete your account. We are not liable for any modification, suspension, or discontinuation of the Service made in accordance with this section, except as required under applicable EU consumer laws.
